Terms of sale
Last updated: October 20, 2026
Courtesy translation of the French document. In case of discrepancy, the French version prevails.
1. Scope
These terms apply to the sale of online software, to services provided on quote and to dedicated installations offered by MELELABS, to consumers (individuals acting for purposes outside their professional activity) as well as to professionals. Dublio.io subscriptions are governed by the terms specific to that service, available on the Dublio.io site.
An accepted quote may supplement or set aside these terms for a professional. Placing an order implies acceptance of these terms.

- Contact
- Contact@melelabs.fr for information, online sales and complaints; Nithard@melelabs.fr for quotes
3. Offers
- Software licences sold online, for example D2V Guard: right to use the software under article 8. The essential characteristics, price and scope of each licence are shown on the offer page before the order.
- Services on quote: design of software, applications and websites, IT support and device fleet management, RGAA accessibility audit.
- Dedicated installations (for example white-label Assur Expertise): carried out on quote, with an installation specific to each customer.
4. Prices
Prices are shown in euros, at the time of the order, on the offer page or in the quote. For consumers, they are displayed including all taxes. If MELELABS benefits from the VAT exemption for small businesses, the mention “VAT not applicable, article 293 B of the French Tax Code” appears on quotes and invoices. Quotes are valid for the period they state. No additional cost is due unless announced before the order.
5. Ordering and conclusion of the contract
Online shop. The customer chooses an offer, checks the order and contact details, then confirms and pays. The contract is concluded when the payment is confirmed. A confirmation email, on a durable medium, summarises the order. MELELABS may refuse an order for a legitimate reason, in particular in the event of an ongoing dispute or an unauthorised payment.
Services on quote. Quote requests are sent to Nithard@melelabs.fr. The contract is concluded when the customer accepts the quote in writing, including by email.
6. Payment
Online payments are made by bank card through Stripe, which processes the payment data. MELELABS has no access to it. For services on quote, the payment schedule (deposit, instalments) is set out in the quote. Between professionals, any late payment automatically gives rise to penalties equal to three times the statutory interest rate, plus a fixed recovery fee of €40 (articles L. 441-10 and D. 441-5 of the French Commercial Code).
7. Delivery
Software is supplied digitally: download link, access or licence key sent by email, in principle immediately after payment is confirmed and at the latest within thirty days of the conclusion of the contract, unless a different period is announced. Delivery times for services are stated in the quote.
8. Licence to use
Unless otherwise stated, the purchase of software grants a personal, non-exclusive and non-transferable licence to use it, for the period and the number of workstations or users stated in the offer. The customer may not copy, resell, sublicense, extract the code or circumvent the protections of the software, except as the law allows. MELELABS remains the holder of all intellectual property rights. Any open-source components remain subject to their own licences.
The customer alone is responsible for ensuring that their use of the software complies with the law. Where the software processes the personal data of third parties, in particular biometric data such as facial recognition, the customer is the data controller and must comply with the GDPR, in particular the rules on sensitive data and on informing the individuals concerned.
9. Consumers’ right of withdrawal
The consumer has fourteen days, from the conclusion of the contract, to withdraw without giving a reason, subject to the legal exceptions. To exercise this right, they send an unequivocal statement to Contact@melelabs.fr, for example using the form in the annex. MELELABS acknowledges receipt of the withdrawal and refunds the sums paid at the latest fourteen days after being informed of it, using the same means of payment.
Exceptions. The right of withdrawal cannot be exercised for digital content not supplied on a tangible medium whose performance has begun after the consumer’s prior express consent and express waiver of that right, nor for a service fully performed before the end of the period with the same consent and waiver (article L. 221-28 of the French Consumer Code). When ordering, the consumer is invited to give this consent and waiver, which are confirmed to them by email.
Where the consumer asks for a service to begin before the end of the withdrawal period and then withdraws, they pay an amount proportionate to what has been provided until they communicate their decision.
10. Warranties
Consumers. The consumer benefits from the legal guarantee of conformity (articles L. 224-25-1 et seq. of the French Consumer Code for digital content and services) and from the guarantee against hidden defects (articles 1641 et seq. of the French Civil Code). These guarantees apply free of charge, regardless of any commercial guarantee.
Professionals. The software is supplied in conformity with its description. MELELABS corrects, within a reasonable time, reproducible defects reported in writing. It does not guarantee the total absence of defects or suitability for a particular need not described in the offer or the quote.
11. Support
Support is provided by email at Contact@melelabs.fr, within reasonable times. A particular service level is only owed if it appears in the quote.
12. Liability
MELELABS has an obligation of means. Towards professionals, its liability is limited to the amount, excluding tax, paid for the offer that gave rise to the damage, and excludes indirect damage (loss of data, revenue or customers). These limits do not apply in the event of gross negligence or wilful misconduct, nor to personal injury, nor to the rights that consumers have by law.
13. Intellectual property in custom developments
Unless the quote says otherwise, a custom development is delivered with a non-exclusive licence to use. Rights are only transferred by a specific written document stating the rights transferred, their scope, purpose, territory and duration. Payment of the price does not, on its own, amount to a transfer. MELELABS keeps its pre-existing tools, libraries and know-how.
14. Confidentiality and personal data
Non-public information exchanged in the course of a service is confidential. The processing of personal data is described in the privacy policy. Where MELELABS processes personal data on behalf of a professional customer, a data processing agreement compliant with article 28 of the GDPR is concluded separately.
15. Force majeure
Neither party is liable for a failure caused by an event of force majeure within the meaning of article 1218 of the French Civil Code.
16. Complaints and consumer mediation
Any complaint can be sent to Contact@melelabs.fr. If no solution is found, the consumer may use a consumer mediator free of charge.
Consumer mediator: [name, postal address and website of the mediator to be filled in].
17. Governing law and jurisdiction
These terms are governed by French law. In the event of a dispute with a professional, and failing an amicable settlement, the competent courts of Paris, in particular the Paris business court (tribunal des activités économiques), have sole jurisdiction. For a consumer, the statutory rules on jurisdiction apply.
18. Changes to the terms
These terms may be changed. The terms that apply to an order are those in force on the date of the order.
